These sales terms and conditions govern your purchase of products from Paul Duan Creations, Inc. Read these sales terms carefully. By placing an order and accepting the products, you are agreeing to the terms including the design intellectual property as described below.

Order Subject to Acceptance: Order acceptance will be acknowledged by the issuance of an Order Confirmation. Please review the OC and notify Paul Duan Creations immediately of any error. Paul Duan Creations reserves the right to revoke an OC in the event the product has been discontinued or will be unavailable for delivery in a reasonable time. 

 

Quotations: Prices quoted are valid for 30 days from date of Order Quotation unless extended in writing. 

 

Prices:  Prices do not include shipping charges or applicable taxes. A $150 small order fee will be added to orders smaller than 12 units.

 

Payment Terms:  We accept major credit cards/wire transfer or checks.

Note: Credit cards payments will be assessed a 3.5% fee. There is a $5,000 limit on credit card payments.

 

Payment Options: 

For ready to ship orders: Payment due in full including freight, handling and other applicable fees prior to shipment.

For special orders:  50% initial deposit upon order confirmation.  Balance, including freight due prior to shipment. 

 

Fee for returned checks or declined credit card charges: There will be a $50 fee for returned checks. There is an administrative fee of $25 for a declined credit card. 

 

Terms for Special Orders:

Special orders that is not available at our warehouse need to be confirmed by PAULDUAN CREATIONS and be paid if full or 50% down prior to arranging production at our factories. Turnaround time depends on if PAULDUAN CREATIONS has stock at factory, and can be 90-120 days before arrival in warehouse.

 

Shipping and Delivery Dates:

All orders upon receipt of payment will be shipped or be ready to ship within five business days from/at our warehouse in Ontario, California. All quoted completion and delivery dates are estimates only. We have no control over delivery time frame and will do our best to keep you posted of any delays. Certain insurance, which varies carrier by carrier will be included in the delivery cost.

 

Method of Shipment:

Paul Duan Creations will determine product shipping methods and carriers unless otherwise agreed by all parties. Any shipments returned to Paul Duan Creations; including but not limited to such returns as a result of buyer’s and/or agent’s failure to accept delivery or otherwise accept the goods; will require buyer and/or agent to pay all additional costs incurred by Paul Duan Creations including shipping and storage fees.  Please reach out to your representative regarding quality issues or returns before contacting us directly. 

 

Cancellation Fees: 

Paul Duan Creations, Inc reserves the right to charge a 20% cancellation fee on stock orders.  NOTE:  If the product has already shipped; order cannot be cancelled. 

Special order: Deposit not refundable if production has begun.

 

Automatic Shipment:

When your order payment has been received, we will automatically ship all in-stock products within 5  business days. 

 

Shipping Notifications: 

Shipping notifications and tracking information will be sent via email once the product ships.  

 

Taxes:

Prices do not include any sales, local or similar taxes. Orders delivered to END USERS in California will be charged State sales tax.

 

Order shipping error: 

If you receive a package in error or receive the wrong product, please contact our rep or us within 72 hours of receiving the package to arrange for a pickup and reshipment of the correct products with no charge for shipping. Do not dispose of any packing materials or will be required to pay for the packaging materials necessary to repackage the product for return shipping. 

 

It is the buyer's responsibility to inspect shipment at the time of delivery. Damages or shortages should be noted on the signed Proof of Delivery prior to the departure of the delivery driver and must be reported within 7 days. Replacement cannot be guaranteed for damage, loss or shortage not clearly notated on the on the POD and promptly reported.

 

Design Intellectual Property

All information, including but not limited to, actual products, samples, design and related landscape images, specifications and drawings are proprietary and confidential to Paul Duan Creations, Inc. and/or contains copyright material. Paul Duan Creations, Inc is the sole owner of the intellectual property rights relating to these elements, as original or by the effect of a license or express authorization. The use of all or part of these for non-commercial purposes is strictly prohibited. The infringement of Paul Duan Creations, Incorporated rights exposes its author to sanctions and, in particular, elements, in particular by downloading, reproduction, representation, distribution, etc. for purposes other than for personal and private use for or non-commercial purposes is strictly prohibited. The infringement of Paul Duan Creations, Incorporated rights exposes its author to sanctions and, in particular, to those provided by the Intellectual Property Code, particularly in respect of copyright infringement , designs and models and patents and trademarks, as well as by the Civil Code in matters of civil liability.
